1.18 Manual Review and Amendment Policy
1.18.1 Purpose
The purpose of this policy is to ensure that the Microfinance Operations Manual remains accurate, relevant, compliant with applicable laws and regulations, and responsive to changes in the Foundation’s operational environment. This Manual shall be considered a living document and shall be reviewed periodically to reflect changes in legislation, regulatory requirements, organizational strategy, operational experience, technological developments, and emerging risks.
1.18.2 Review Frequency
The Manual shall be formally reviewed:
- At least once every two (2) years.
- Whenever there is a significant amendment to applicable laws or regulations.
- Upon issuance of new regulatory instructions by the relevant authorities.
- Following major organizational restructuring.
- Following significant audit observations or compliance findings.
- After the introduction of new financial products or operational systems.
- Whenever approved by the Board of Trustees.
Departments may recommend revisions at any time where operational improvements are
necessary.
1.18.3 Review Responsibilities
Executive Director
The Executive Director shall:
- Initiate periodic reviews.
- Coordinate policy revisions.
- Ensure timely implementation of approved amendments.
- Communicate changes throughout the organization.
Department Heads
Department Heads shall:
- Review operational procedures.
- Recommend amendments based on operational experience.
- Identify gaps, risks, and improvement opportunities.
- Ensure staff understand revised procedures.
Compliance and Internal Audit The Compliance and Internal Audit functions shall:
- Recommend revisions based on audit findings.
- Monitor regulatory developments.
- Assess the effectiveness of implemented changes.
1.18.4 Amendment Procedure
All amendments shall follow the process below: 1. Identification of the need for revision. 2. Preparation of a draft amendment. 3. Review by relevant departments. 4. Legal and compliance review, where required. 5. Approval by the appropriate authority. 6. Issuance of a revised version. 7. Withdrawal of obsolete versions. 8. Staff orientation and training. 9. Monitoring of implementation. No employee shall independently modify any approved policy or procedure.
1.19 Ethical Standards
1.19.1 Ethical Commitment
Prothik Agrajatra Foundation is committed to maintaining the highest standards of honesty, integrity, professionalism, and accountability in all activities. Every employee, officer, consultant, volunteer, and representative shall conduct themselves in a manner that protects the reputation, credibility, and mission of the
Foundation.
1.19.2 Principles of Ethical Conduct
Employees shall:
- Act honestly and in good faith.
- Treat all clients with dignity and respect.
- Avoid discrimination of any kind.
- Maintain confidentiality of information.
- Avoid conflicts of interest.
- Refrain from accepting gifts or improper benefits that may influence official
decisions.
- Protect organizational assets.
- Report unethical conduct or suspected fraud.
- Comply with all laws, regulations, and organizational policies.
- Perform duties professionally and responsibly.
1.19.3 Prohibited Conduct
The following actions are strictly prohibited:
- Fraud, theft, or embezzlement.
- Bribery and corruption.
- Falsification of documents or records.
- Misappropriation of client funds or organizational assets.
- Harassment, intimidation, or abusive behavior.
- Sexual harassment or exploitation.
- Discrimination based on gender, religion, ethnicity, disability, age, or other
protected characteristics.
- Unauthorized disclosure of confidential information.
- Manipulation of loan records or financial statements.
- Use of organizational resources for personal gain without authorization.
Violations may result in disciplinary action, including termination of employment and, where appropriate, legal proceedings.
1.19.4 Conflict of Interest
Employees shall avoid situations in which personal, family, financial, or business interests could improperly influence official duties.
Examples include:
- Approving loans for close relatives without proper authorization.
- Receiving commissions from suppliers or clients.
- Using confidential information for personal benefit.
- Participating in procurement decisions involving personal interests.
All actual, potential, or perceived conflicts of interest shall be disclosed immediately to the
appropriate supervisor.
1.19.5 Whistleblower Protection
The Foundation encourages employees and stakeholders to report suspected misconduct, fraud, corruption, or policy violations. Individuals making reports in good faith shall be protected from retaliation, intimidation, or
discrimination. Reports shall be handled confidentially and investigated promptly and fairly.
1.20 Client Protection Policy
1.20.1 Policy Statement
The Foundation recognizes that clients are its most important stakeholders. All products and services shall be delivered in a fair, transparent, respectful, and responsible manner.
Client protection shall be integrated into every stage of the microfinance process.
1.20.2 Client Rights
Every client has the right to:
- Be treated with dignity and respect.
- Receive accurate and understandable information.
- Know the terms and conditions of all financial products before acceptance.
- Receive transparent information regarding pricing, fees, charges, and repayment
obligations.
- Privacy and confidentiality of personal information.
- Submit complaints without fear of retaliation.
- Receive fair and timely complaint resolution.
- Be free from harassment, coercion, intimidation, or abusive collection practices.
1.20.3 Responsibilities of the Foundation
The Foundation shall:
- Conduct responsible credit assessments.
- Avoid over-indebtedness of clients.
- Clearly explain product features and repayment obligations.
- Maintain confidentiality of client information.
- Ensure respectful behavior by employees.
- Provide accessible complaint handling mechanisms.
- Monitor client satisfaction.
- Continuously improve service quality.
1.20.4 Fair Collection Practices
Loan recovery shall be conducted professionally and respectfully.
Employees shall not:
- Use threats or intimidation.
- Use physical or verbal abuse.
- Publicly shame borrowers.
- Confiscate personal property without legal authority.
- Visit clients at unreasonable hours except where justified and lawful.
- Disclose client information to unauthorized persons.
Recovery activities shall focus on dialogue, counselling, and mutually acceptable solutions while protecting the Foundation’s financial interests.
1.20.5 Confidentiality of Client Information
Client information shall be used solely for legitimate business purposes.
The Foundation shall protect:
- Personal identification information.
- Financial information.
- Loan records.
- Savings records.
- Business information.
- Contact details.
- Complaint records.
Disclosure shall occur only:
- With client consent;
- Where required by law; or
- To authorized regulatory or judicial authorities.
1.20.6 Complaint Handling
The Foundation shall establish a Grievance Redress Mechanism that enables clients to submit complaints through accessible channels, including branch offices, telephone, email, or other approved communication methods.
Complaints shall be:
- Recorded in a Complaint Register.
- Acknowledged promptly.
- Investigated objectively.
- Resolved within the prescribed timeframe.
- Reported to management for monitoring and continuous improvement.

Board Approval This Chapter shall become effective upon approval by the Board of Prothik Agrajatra Foundation and shall remain in force until amended or replaced by a subsequent approved
